These are our terms of sale, offered to every customer on the same basis. By confirming an order on the website, you accept them. We have tried to set them out as plainly as we can.

General provisions

1.1This document is a public offer by Pelart Laboratory LLC (the “Seller”) to enter into a distance contract for the retail sale of goods through the Pelart Laboratory website (the “Website”) on the terms set out below (the “Contract”). The Contract also applies to orders placed through the Seller’s manager by phone or Viber.

1.2The offer is addressed to an indefinite number of persons and is a public offer within the meaning of Article 641 of the Civil Code of Ukraine. The Contract is a public contract within the meaning of Article 633 of the Civil Code of Ukraine: its terms are the same for every buyer.

1.3The Buyer accepts the terms of the Contract in full and without reservation (acceptance under Article 642 of the Civil Code of Ukraine) by placing and confirming an order on the Website or, for an order placed through the manager, by confirming it to the manager. The Contract is deemed concluded from that moment.

1.4Once an order has been placed, the Seller e-mails the Buyer a confirmation stating: the order number; the Products and their prices (including VAT); delivery and payment terms; how to cancel within 14 days and how to make a claim; the Seller’s details; a link to this Contract in the version in force, or its text. This confirmation constitutes confirmation of the information within the meaning of Article 13(3) of the Law of Ukraine “On Consumer Rights Protection”.

1.5Matters not covered by the Contract are governed by the law of Ukraine, in particular the Civil Code of Ukraine and the Law of Ukraine “On Consumer Rights Protection”. The terms of the Contract do not limit the consumer rights established by law.

Definitions

2.1Seller — Pelart Laboratory LLC, EDRPOU code 37517967.

2.2Buyer — the person placing an order on the Website or through the Seller’s manager.

2.3Products — the professional cosmeceuticals offered on the Website.

2.4Order — a Buyer’s request to purchase Products, placed and confirmed on the Website or through the manager.

2.5PRO products — products labelled PRO and professional sizes, intended for professionals.

2.6Partner account — the section for professionals, to which access is granted once a partnership application has been reviewed.

Subject of the Contract

3.1The Seller undertakes to transfer ownership of the Products to the Buyer, and the Buyer undertakes to pay for and accept the Products on the terms of the Contract.

3.2The description, composition and price of each Product are given on its page on the Website. Images of a Product (including 3D renderings) may differ slightly from its actual appearance — the shade of the packaging, for instance, on different screens.

Placing an order

4.1The Buyer places an order in the cart on the Website, giving a phone number, first name, surname, e-mail address, delivery and payment method and, if they wish, a note. No registration is needed. For an order by phone or on Viber, the manager places it using the details the Buyer provides. The Buyer gives accurate details.

4.2Before confirming the order, the Buyer can check and correct the details entered.

4.3The Seller may contact the Buyer to clarify the details of the order.

4.4If an ordered Product is out of stock, the Seller informs the Buyer immediately, and no later than 30 days after the order was placed. The Seller may offer a replacement only with a Product for the same purpose, of the same or better quality and no more expensive; no replacement is made without the Buyer’s consent. The Buyer may decline the replacement, in which case the Seller refunds the amount paid for that Product.

Price and payment

5.1Prices are shown on the Website in hryvnias and include VAT. The price of a Product is fixed at the moment the order is placed.

5.2Online payment — by bank card, Apple Pay or Google Pay through the WayForPay payment service (Financial Company WAY FOR PAY LLC). The Buyer enters card details on the secure WayForPay page; the Seller neither receives nor stores them.

5.3Bank transfer — the Seller e-mails an invoice to the Buyer; payment is made to the Seller’s current account. The invoice is valid for 3 working days: if payment has not arrived within that time, the Seller may cancel the order. The bank may charge a transfer fee.

5.4Cash on delivery — the Buyer pays for the order on collection from Nova Poshta. Nova Poshta may charge a money transfer fee at its own rates. If the Buyer collects the order in person, they may pay on the spot by cash or card.

5.5The Buyer’s obligation to pay is fulfilled once an online payment has gone through, funds paid against an invoice have been credited to the Seller’s account, or the order has been paid for at Nova Poshta.

5.6The Seller provides a receipt (paper or electronic) with the order.

Delivery

6.1Products are delivered by Nova Poshta within Ukraine, except the temporarily occupied territories: to a branch, a parcel locker or an address by courier. Collection in person is also available at 44-a Ye. Konovaltsia Street, Kyiv. The procedure, timescales and cost of delivery are described on the Delivery and payment page.

6.2Orders paid online or by bank transfer are dispatched once payment has arrived, and orders paid on delivery or on collection once confirmed by our manager. Products are delivered within no more than 30 days of the order being placed.

6.3Delivery is charged at Nova Poshta rates and paid by the Buyer on receipt. Delivery is free on orders of 4 or more items.

6.4On receipt, the Buyer inspects the parcel. Any damage found at that point is recorded in a report drawn up with the carrier’s representative.

Cancellation and returns

7.1A Buyer purchasing Products for personal needs (a consumer) may cancel the Contract within 14 days of receiving the Products (Article 13 of the Law of Ukraine “On Consumer Rights Protection”). The cost of returning the Products is borne by the Seller. Refunds are made no later than 30 days after notice of cancellation.

7.2If a Product is faulty, a consumer has the rights provided by Article 8 of the Law of Ukraine “On Consumer Rights Protection”, and other Buyers the rights provided by the Civil Code of Ukraine. Claims about defects may be made within the Product’s shelf life.

7.3The Seller considers claims about Products within 7 calendar days, unless the law sets a shorter period.

Rights and obligations of the parties

8.1The Seller undertakes to supply Products that match their description on the Website and meet quality requirements, to give the Buyer accurate information about the Products, to confirm the order by e-mail and to consider the Buyer’s claims.

8.2The Buyer undertakes to give accurate details, to pay for and accept the Products, and to use them in accordance with the instructions on the packaging.

Liability

9.1The parties are liable for any failure to perform the Contract, or for its improper performance, in accordance with the law of Ukraine.

9.2The Seller is not liable for defects in a Product if it proves that they arose because the Buyer breached the rules for storing or using the Product.

9.3The parties are released from liability in the event of force majeure.

Personal data

10.1The Seller processes the Buyer’s personal data in order to conclude and perform the Contract, in accordance with the Law of Ukraine “On Personal Data Protection”. The data concerned, the purposes of processing, recipients, retention periods and the Buyer’s rights are described in the Privacy policy.

Professional buyers

11.1Skincare specialists, dermatologists, beauty salons and treatment rooms may apply for partnership on the Website. Access to the Partner account is granted once the application has been reviewed.

11.2PRO products are sold only to partners whose applications have been reviewed, under a separate agreement; they cannot be added to the cart on the Website. Retail Products with a price on the Website may be purchased by any Buyer.

11.3Where a Buyer purchases Products for professional practice as a sole trader or a company, the terms are set by a separate agreement with the Seller or, where there is none or it does not cover a matter, by this Contract (the public offer) and the Civil Code of Ukraine.

Resolving disputes

12.1The parties will seek to resolve any dispute through negotiation. The Seller can be reached at [email protected] or by phone on +38 099 089 89 26.

12.2If a dispute cannot be settled through negotiation, it will be resolved in the manner prescribed by the law of Ukraine.

Validity and changes

13.1The offer takes effect on publication on the Website and remains valid until the Seller withdraws it.

13.2The Seller may change the terms of the offer by publishing a new version on this page. Orders placed earlier are governed by the version in force at the time they were placed.

13.3The text of the Contract can be saved as a PDF or printed from this page; the Seller sends the version in force at the time of the order with the order confirmation.

13.4The Contract is concluded in Ukrainian. The English text is a translation for convenience; in the event of any discrepancy, the Ukrainian version prevails.
